Terms & conditions
1. Scope
These General Terms and Conditions (hereinafter "GTC") govern all contractual relationships between Alex Annen, operating as a sole proprietorship under the name Alex Annen Photography (UID: CHE-420.670.097), with a studio located at Chem. de la Cornache 1, 1753 Matran (hereinafter "the Photographer"), and any natural or legal person placing an order with the Photographer (hereinafter "the Client").
By placing an order, the Client acknowledges having read these GTC and accepts them without reservation. Any deviation from the GTC must be agreed upon in writing by both parties.
2. Services
The Photographer offers, in particular, the following services:
– Studio portraits (art direction, lighting, staging)
– Photographic and editorial concepts
– Video production
– Licensing of image usage rights
Services are defined precisely in the quote issued by the Photographer. Any additional service not included in the quote will be subject to a written amendment and additional invoicing.
3. Quote and Contract Formation
The conclusion of the contract is preceded by an exchange between the Photographer and the Client (meeting, phone call, or email) to define the Client’s needs.
On this basis, the Photographer provides a tailored quote detailing the services, price, and timeline. The Client’s signature of the quote constitutes conclusion of the contract and acceptance of these GTC.
The signed quote constitutes an acknowledgment of debt within the meaning of Article 82 of the Federal Act on Debt Enforcement and Bankruptcy (DEBA) for the amount stated.
4. Pricing and Payment Terms
Prices are stated in Swiss francs (CHF), exclusive of tax (the Photographer is not VAT-registered).
Deposit: A deposit of 50% of the total quote amount is due upon signing the quote. The deposit is required to confirm the booking of the session date.
Balance: The remaining balance is due prior to delivery of the images and files to the Client.
Payment deadline: Invoices are payable within 30 days of the invoice date.
Accepted payment methods: Bank transfer and Twint.
In the event of late payment, default interest of 5% per annum will apply in accordance with Article 104 of the Swiss Code of Obligations (CO), without prior formal notice.
5. Shooting Conditions
The Client acknowledges being familiar with the Photographer’s photographic style and engages the Photographer’s services with full knowledge thereof. The Photographer’s work is guided by their artistic and creative vision.
The Client acknowledges that the quality of the photographs may depend on external factors beyond the Photographer’s control (natural light, weather, venue conditions, etc.).
6. Delays and Postponements
If the Client is more than 15 minutes late without prior notice, the Photographer may, at their discretion, shorten the session accordingly while maintaining the original price, or extend the session and invoice the additional time.
If the Photographer is more than 15 minutes late without prior notice, the Client may request that the delay time be added to the session at no additional cost, or request a proportional reduction in price.
The session date may be rescheduled twice at no charge upon written request from the Client. From the third rescheduling onward, the Photographer may require full payment of the session fee.
7. Cancellation
All cancellations must be communicated in writing (by email or post).
Cancellation more than 7 days before the scheduled date: the deposit paid remains with the Photographer.
Cancellation less than 72 hours before the session: 50% of the total quote amount will be invoiced to the Client.
No-show: In the event of the Client’s failure to appear without prior cancellation, the full session fee will be invoiced.
8. Force Majeure
In the event of force majeure (illness, accident, extreme weather conditions, equipment failure, etc.), the Photographer reserves the right to reschedule the session at no charge. The party invoking force majeure must notify the other party as soon as possible.
If, due to force majeure, the contract cannot ultimately be performed, the obligations of both parties are extinguished. Any deposits paid will be refunded, less the value of work already completed.
9. Delivery of Images and Files
Photographs and videos are delivered electronically (download link or private online gallery). Upon request, files may be provided on a physical medium for an additional fee.
The indicative delivery timeframe is 2 to 6 weeks after the session. This timeframe is indicative only and does not constitute a firm commitment unless otherwise agreed in writing. A shorter firm deadline may be agreed upon specifically, subject to a surcharge.
10. Defects and Corrections
The Client is required to review the images upon delivery and report any defects within 5 business days. After this period, the images are deemed accepted.
Only an objective qualitative defect attributable to the Photographer’s work may be considered a defect, excluding subjective criticism related to artistic style or the appearance of the subjects photographed. Articles 367 et seq. of the Swiss Code of Obligations (CO) apply accordingly.
11. Copyright
All photographs and videos produced under the contract are works protected by copyright within the meaning of the Federal Act on Copyright and Related Rights (CopA). Copyright belongs exclusively to the Photographer.
Delivery of the files to the Client does not constitute an assignment of copyright. The Client acquires only a right of use as defined in the quote or license agreement.
For any use (website, social media, press, etc.), the Client is required to credit "Alex Annen" or "Alex Annen Photography", unless otherwise agreed in writing.
Any unauthorised use or use beyond the scope of the granted licence constitutes a copyright infringement and may result in legal proceedings.
12. Usage Licenses
The specific terms of the usage licence (duration, territory, permitted media, exclusivity) are defined in the quote or in a separate licence agreement.
Unless otherwise agreed in writing, the licence is non-exclusive, non-transferable, and limited to the use specified in the quote. Any sublicensing or transfer of the licence to a third party requires the Photographer’s prior written consent.
13. Right of Publicity / Image Rights
The Photographer may make promotional use of the images (in particular on the website, social media, or portfolio) only with the express consent of the Client or the persons photographed. Such consent may be given orally or in writing.
The Client or the persons photographed may withdraw their consent at any time or attach conditions to it.
14. Data Protection
The Photographer collects the Client’s personal data necessary for the administrative management of the contract and stores it in their database in accordance with the Federal Act on Data Protection (FADP). The full privacy policy is available at alexannen.com.
The Client may request the rectification or deletion of their personal data at any time.
15. Miscellaneous Provisions
Any amendments or additions to the contract are only valid if made in writing.
If any provision of these GTC is declared void or unenforceable, the remaining provisions shall remain fully in force.
16. Applicable Law and Jurisdiction
The contract is governed exclusively by substantive Swiss law.
For any dispute arising from the contract, the parties agree to the exclusive jurisdiction of the courts of the district of Sarine, canton of Fribourg.
